BMC Software Completes Acquisition of Marimba, Inc.

HOUSTON - (July 15, 2004) - BMC Software, Inc. (NYSE: BMC) today announced the completion of its acquisition of Marimba, Inc., a leading provider of products and services for software change and configuration management that enables enterprises worldwide to dynamically manage their IT assets, increase operational efficiency and reduce IT costs. Marimba customers represent a variety of industries including insurance, government, financial services, health care and retail.

Marimba, Inc. shareholders approved the acquisition during a special meeting held July 14, 2004 at the company's Mountain View, California headquarters.

BMC Software expects the acquisition to be accretive to earnings within 12 months. On July 27, 2004, BMC Software will provide updated earnings guidance, which will incorporate Marimba.
