How to Contact the Board of Directors
Stockholders and other interested parties may send communications to the Board of Directors, or any committee of the Board or any individual director in the manner described on this site.
All communications should be delivered either
- in writing addressed c/o Corporate Secretary at 2101 CityWest Blvd., Houston, Texas 77042;
or
- by e-mail to directors@bmc.com.
Communications should not exceed 500 words in length and must be accompanied by the following information:
- a statement of the type and amount of the securities of BMC Software that the person holds;
- if the person submitting the communication is not a security holder and is submitting the communication to the non-management directors as an interested party, the nature of the person’s interest in BMC Software;
- any special interest, meaning an interest not in the capacity as a shareholder of BMC Software, of the person in the subject matter of the communication; and
- the address, telephone number and e-mail address, if any, of the person submitting the communication.
All communications that comply with the procedural requirements that are described here will be relayed to the directors, except for the following types of communications:
- communications regarding individual grievances or other interests that are personal to the party submitting the communication and could not reasonably be construed to be of concern to security holders or other constituencies of BMC Software generally;
- communications that advocate BMC Software’s engaging in illegal activities;
- communications that, under community standards, contain offensive, scurrilous or abusive content; and
- communications that have no rational relevance to the business or operations of BMC Software.
Communications addressed to directors may, at the direction of the directors, be shared with BMC Software management.
BMC Software’s acceptance and forwarding of communications to the directors does not imply that the directors owe or assume any special or additional duties to persons submitting the communications, the duties of the directors being only those prescribed by applicable law.
